Terms of Service for PromptPilot

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the promptpilot.online website (the "Site") and the AI-powered prompt generation services (collectively, the "Services") operated by PromptPilot ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. Description of Service

PromptPilot provides AI-driven tools to assist users in generating high-quality AI prompts. This includes, but is not limited to, simple prompt generation and a unique Q&A guided prompt generation process (the "Q&A Feature"). The Services are accessible via our Site.

2. User Accounts

  • If certain features of the Service require you to create an account, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
  • You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
  • You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. User-Generated Content and Inputs

  • Ownership of Your Prompts: You retain ownership of the prompts you create using our Services ("User Prompts") and any original content you input into the Service ("User Inputs").
  • Responsibility for User Prompts and Inputs: You are solely responsible for your User Prompts and User Inputs and the consequences of posting, publishing, or using them. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your User Prompts and User Inputs in the manner contemplated by the Service and these Terms.
  • Prohibited Content: You agree not to use the Service to generate, input, or transmit any content that:
    • Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
    • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
    • Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
    • Constitutes unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.

4. Use of Service by Free Tier Users and Public Sharing

  • Q&A Feature for Free Users: If you are using the free tier of our Service, particularly the Q&A Feature, you understand and agree that your User Inputs (anonymized where appropriate) and the resulting User Prompts (collectively, "Free Tier Content") may be used by PromptPilot for the following purposes:
    • To improve our Services;
    • To create, develop, and improve AI models;
    • To be made publicly available, shared with other users, or incorporated into a public repository of prompts, examples, tutorials, or other community-enhancing resources, after appropriate anonymization or when confirmed as non-personally identifiable.
  • License Grant for Free Tier Content: For any Free Tier Content you submit or create through designated free features, you grant PromptPilot a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Free Tier Content in connection with the Service and PromptPilot's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels, provided such content is anonymized or non-personally identifiable before public disclosure.
  • Acknowledgement: You will be clearly informed, and your acknowledgement or consent may be required, before submitting content through features where such public sharing may occur. If you do not agree to this, you should not use these specific free features or consider upgrading to a premium service tier (if available) where content remains private.

5. Use of Service by Premium Tier Users (If Applicable)

  • If PromptPilot offers a premium or paid service tier ("Premium Service"), User Inputs and User Prompts created by users of the Premium Service ("Premium Users") will be treated as confidential and will not be publicly shared by PromptPilot, except as required by law or as otherwise permitted by you or this Agreement.

6. Intellectual Property

The Service and its original content (excluding User Prompts and User Inputs, except for the license granted for Free Tier Content as described above), features, and functionality are and will remain the exclusive property of PromptPilot and its licensors. The Service is protected by copyright, trademark, and other laws of both Chinese and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PromptPilot.

7. Acceptable Use

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • To generate content that is discriminatory, promotes hate speech, or is graphically violent.
  • To engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
  • To reverse engineer, decompile, or disassemble any portion of the Service, including the underlying AI models, except to the extent such restriction is prohibited by applicable law.

8. Termination

  • We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
  • Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account (if applicable), you may simply discontinue using the Service, or follow any account deletion procedures we may provide.
  • Provisions that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PROMPTPILOT, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT: A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR THAT AI-GENERATED PROMPTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE. AI-GENERATED CONTENT CAN BE UNPREDICTABLE AND MAY CONTAIN INACCURACIES OR BIASES.

10. Limitation of Liability

IN NO EVENT SHALL PROMPTPILOT, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING USER PROMPTS GENERATED BY THE SERVICE); AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS PRIOR TO THE ACT GIVING RISE TO THE LIABILITY, OR TEN DOLLARS ($10.00 USD) IF YOU HAVE NOT PAID ANYTHING.

11. Indemnification

You agree to defend, indemnify, and hold harmless PromptPilot and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password (if applicable); b) a breach of these Terms, or c) Content posted on the Service, including your User Inputs and User Prompts.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Chinese, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

13. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least [e.g., 15-30] days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
